These Terms apply only to the Website and related online services—not to locally stored data inside the DeskClients software, which remains under the user’s control.

• Desk Clients is not responsible for data loss due to hardware failure, user error, or local system issues

Website access does not grant Desk Clients access to your locally stored CRM data.

Desk Clients LLC does not pre-screen comments and is not responsible for their content. Comments reflect the views of the individual posting them.

Software License Addendum

(Part of the Desk Clients LLC Terms and Conditions)

This Software License Addendum (“Addendum”) governs the use of the DeskClients desktop software application (“Software”) provided by Desk Clients LLC (“Desk Clients,” “we,” “our,” or “us”). This Addendum supplements and forms part of the Terms and Conditions.

By downloading, installing, or using the Software, you agree to be bound by this Addendum.

1. License Grant

Subject to your compliance with these Terms, Desk Clients LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software:

• On devices you own or control

• For your own personal or internal business use

• In accordance with the Software documentation

Unless explicitly stated otherwise in writing, the license does not transfer ownership of the Software.

2. License Type & Fees

Desk Clients may offer the Software under one or more of the following models:

• One-time license

• Per-user license

• Per-device license

License terms, pricing, and entitlements are defined at the time of purchase. Failure to comply with license limitations may result in suspension or termination of access.

3. Data Ownership & Local Storage

The Software is designed to operate on a local, offline-first basis.

• All data entered into the Software remains your property

• Desk Clients does not host, access, monitor, or back up your CRM data

• Data is stored locally on your device unless you choose otherwise

• You are solely responsible for backups, encryption, and local security

Desk Clients does not assume responsibility for data loss due to hardware failure, user error, operating system issues, or third-party software.

4. Restrictions

You may not:

• Reverse engineer, decompile, or disassemble the Software

• Modify, adapt, or create derivative works of the Software

• Circumvent licensing, activation, or security mechanisms

• Rent, lease, sublicense, sell, or distribute the Software

• Use the Software for unlawful or abusive purposes

Any unauthorized use immediately terminates the license.

5. Updates & Optional Connectivity

Desk Clients may provide updates, patches, or enhancements to the Software.

• Updates may require an internet connection

• Internet access is not required for core Software functionality

• Optional features (such as licensing checks or update notifications) may require connectivity

Desk Clients reserves the right to modify or discontinue optional online features.

6. No Cloud Hosting or Managed Services

Unless explicitly stated in writing:

• Desk Clients does not provide cloud hosting of customer data

• Desk Clients does not act as a data processor for CRM content

• Desk Clients does not provide managed backup or recovery services

Use of third-party storage or synchronization tools is at your own discretion and risk.

7. Termination

This license remains effective until terminated.

The license will terminate automatically if you:

• Violate this Addendum or the Terms and Conditions

• Use the Software outside the permitted scope

Upon termination, you must cease using and uninstall the Software. Locally stored data remains your responsibility.

8. Disclaimer of Warranties

The Software is provided “as is” and “as available.”

To the maximum extent permitted by law, Desk Clients LLC disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Software will be error-free, uninterrupted, or compatible with all systems.

9. Limitation of Liability

To the fullest extent permitted by law, Desk Clients LLC shall not be liable for:

• Data loss

• Business interruption

• Loss of profits or revenue

• Indirect, incidental, or consequential damages

This limitation applies regardless of the legal theory under which liability is asserted.

10. Governing Law

This Addendum is governed by the same laws specified in the main Terms and Conditions, without regard to conflict-of-law principles.
